1. Agreement

By accessing or using SpecIQ at thespeciq.com (the "Service"), you agree to these Terms. If you use the Service on behalf of a company, you represent that you can bind that company.

Operator: SpeciQ ("SpecIQ," "we," "us").

Governing law: Colorado (exclusive venue: courts in Douglas County, Colorado), except where prohibited.

2. What SpecIQ is

SpecIQ is a commercial tile specification and value-engineering (VE) tool, including Exact Crossover and Look Match features. Outputs may include suggested OEM paths, look-alike products, pricing ranges, and lead-time estimates.

Not a substitute for professional judgment. You must confirm product suitability, code compliance (including DCOF and other performance data), availability, pricing, and lead times with manufacturers, distributors, and your project team before ordering or specifying.

3. Accounts

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. Notify hello@thespeciq.com of unauthorized use.

We may refuse, suspend, or terminate accounts for abuse, fraud, chargebacks, scraping, reverse engineering, or violation of these Terms.

4. Plans, billing, and refunds

Paid plans (including Founder Annual Pro, Individual, Team, and Enterprise) are described on the site or at checkout. Founder Annual Pro may be sold through Gumroad or another processor we designate.

Fees are charged in advance for the billing period shown at checkout. Refunds are governed by our Refund Policy (14-day full refund for Founder and Individual; Team prorated case-by-case).

Taxes may apply. You authorize us and our payment processors to charge your payment method.

5. License and acceptable use

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during an active free or paid entitlement.

You retain rights to files and text you upload (e.g. photos, mood boards, project notes). You grant us a license to process that content solely to operate and improve the Service. Project folders and exports are for your use; do not upload others' confidential information unless you have permission.

7. Intellectual property

SpecIQ, the site, software, branding, and underlying data compilations are owned by us or our licensors. No rights are granted except as stated in these Terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that crossovers, matches, prices, or lead times are complete, current, or error-free. Tile markets and mill data change.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES, OR FOR PROJECT DELAYS, FAILED SPECS, OR PROCUREMENT LOSSES ARISING FROM USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF YOU HAVE ONLY USED THE FREE TIER).

Some jurisdictions do not allow certain limits; in those cases, our liability is limited to the minimum allowed.

10. Indemnity

You will indemnify and hold us harmless from claims arising out of your use of the Service, your content, or your breach of these Terms, except to the extent caused by our willful misconduct.

11. Free tier

Free specs (including the "2 free specs" offer) may be modified or withdrawn. Free use does not create a paid subscription.

12. Changes and termination

We may update these Terms by posting a new version with an updated date. Continued use after changes means acceptance. You may stop using the Service at any time. We may discontinue features with reasonable notice when practicable.
